These Terms & Conditions govern the engagement of individuals or entities who register as Business Development Partners ("BDP", "you", "your") with Excellence Financing Broker ("EFB", "Company", "we", "us", "our").
1. Definitions and Interpretation
- "AECB" means Al Etihad Credit Bureau, the UAE's federally mandated credit information company.
- "CDD" means the due diligence and identity verification process referred to in Section 4.
- "Commission" means the performance-based payout described in Section 7.
- "CRM" means the EFB customer relationship management platform used to submit, track, and manage Referrals and BDP activity.
- "Customer" means an individual or business entity who is the subject of a Referral and who is, or may become, a customer of a Financial Institution.
- "Disbursal" means the release of approved funds, or activation of an approved facility, by a Financial Institution.
- "Financial Institution" means a licensed bank, finance house, or lender that EFB works with from time to time.
- "Partner ID" means the unique identifier issued to an approved BDP upon successful onboarding.
- "Personal Data" has the meaning given to it in the EFB Privacy Policy.
- "Referral" means a Customer whose details are submitted by a BDP through the CRM.
- "Sub-BDP" means a BDP onboarded into the Program by an existing BDP under Section 9.
- "Applicable Law" means the federal laws of the United Arab Emirates and, where relevant, the laws and regulations of the Emirate in which EFB is licensed.
2. Nature of the Relationship
2.1 The BDP is engaged by EFB as an independent referral partner on a principal-to-principal basis. This Agreement does not create, and must not be construed to create, any of the following:
- An employment relationship of any kind, whether under Federal Decree-Law No. 33 of 2021 (UAE Labour Law) or otherwise.
- An agency relationship — the BDP has no authority to act, negotiate, sign, or make representations on behalf of EFB or any Financial Institution.
- A representative relationship — the BDP must not describe itself as a representative of EFB or of any Financial Institution.
- A partnership, joint venture, or similar arrangement in the legal sense, notwithstanding use of the word "Partner" as a Program label.
- A Direct Sales Agent ("DSA") or Sub-DSA arrangement of any kind. The BDP is not appointed, registered, or held out by EFB as a DSA or Sub-DSA of EFB or of any Financial Institution.
2.2 The BDP acts solely on its own behalf and at its own risk. Nothing the BDP says or does binds EFB or any Financial Institution, and the BDP has no authority to give any legal, financial, or regulatory assurance to any Customer.
2.3 Requirements in this Agreement relating to CRM usage, reporting, training, or process compliance are conditions of participation in the Program. They do not, individually or collectively, alter the independent nature of the relationship described in this Section 2.
2.4 The BDP is solely responsible for its own tax position, any business registration, insurance, and compliance with any law applicable to its own activities.
3. Role, Scope of Services, and Prohibited Conduct
3.1 What EFB Does
EFB provides referral coordination and consultancy support services connecting individuals seeking financial products with participating Financial Institutions. For the avoidance of doubt:
- EFB is not a lender and does not itself provide any credit, loan, or finance facility.
- EFB does not approve, sanction, or guarantee approval of any application.
- All final lending, credit, and pricing decisions rest solely and exclusively with the relevant Financial Institution.
3.2 Permitted BDP Activities
The BDP's role is limited to:
- Identifying individuals within the BDP's own personal or professional network who may have a genuine interest in a financial product.
- Submitting basic Referral details through the CRM in accordance with Section 5.
- Providing reasonable coordination assistance (e.g. helping a Referral locate a requested document) only where and as directed by EFB.
3.3 Prohibited Conduct
The BDP must not, under any circumstances:
- Approve, sanction, or purport to approve any finance facility, or state or imply that approval is guaranteed.
- Quote, promise, or negotiate any specific profit rate, interest rate, fee, or repayment term.
- Demand, collect, or accept any payment, deposit, or fee of any kind from a customer.
- Request or accept OTPs, PINs, passwords, or any other confidential banking credential from customer.
- Represent or hold itself out as an employee, agent, representative, partner, or Sub-DSA of EFB or of any Financial Institution.
- Submit forged, altered, or misleading documents on behalf of a Customer.
- Make any claim prohibited under Section 11 (Compliance & Ethical Conduct).
4. Eligibility & Onboarding
4.1 To register as a BDP, an applicant must:
- Be at least 18 years of age.
- Hold a valid IDENTITY DOCUMENT.
- Hold an active UAE bank account in the BDP's own name for receipt of Commission.
- Complete the onboarding process.
4.2 EFB may, at its sole discretion, approve, reject, or decline to activate any BDP application, and is not required to give reasons for doing so.
4.3 Completion of EFB's onboarding orientation is a mandatory prerequisite to activation of a Partner ID.
5. Referral Submission & Consent Responsibility
5.1 Before submitting any Referral's personal details to EFB through the CRM or any other channel, the BDP must obtain that individual's clear permission for:
- The BDP sharing the individual's basic contact and enquiry details with EFB.
- EFB, or those acting on EFB's behalf, contacting the individual about financial products.
- EFB processing that individual's data as described in the EFB Privacy Policy.
5.2 By submitting a Referral through the CRM, the BDP represents and warrants to EFB that the permission described in Section 5.1 has been obtained from that individual.
5.3 EFB is entitled to rely on the representation and warranty in Section 5.2 and is not required to independently verify that permission before contacting a Referral or otherwise acting on a submission.
5.4 If EFB becomes aware that a Referral did not give the required permission, or that a Referral has withdrawn permission, EFB may cease processing that individual's data, decline to pay any Commission connected with that Referral, and treat the matter as a compliance issue under Section 11.
5.5 The BDP must not submit details of any individual under the age of 18, and must not submit a Referral's sensitive documents (Emirates ID, passport, salary certificate, bank statements, etc.).
6. CRM Usage & Process Compliance
6.1 All Referrals must be submitted exclusively through the official EFB CRM. EFB is not responsible for any Referral submitted or communicated through any other channel.
6.2 The BDP must submit only the categories of Referral data the CRM requests at each stage, and must not submit additional or unnecessary personal data.
6.3 Lead ownership, attribution, and Commission calculation are determined solely by the records held in the CRM. The BDP is responsible for checking that Referral submissions and CRM records are accurate.
6.4 The BDP's CRM login credentials are personal to the BDP and must not be shared with any other person.
7. Payouts & Earnings
7.1 Commission is performance-based and becomes payable only upon successful Disbursal of the relevant finance facility by a Financial Institution. No salary, retainer, or guaranteed minimum income is payable under this Agreement.
7.2 Subject to Section 8 (Tier Structure) and to variation under Section 7.6, the current product-wise Commission structure is:

7.3 Commission is provisional until final settlement and remains subject to Section 10 (Claw back & Adjustment).
7.4 Commission is processed as soon as possible following confirmed Disbursal by the Financial Institution, and is paid to the BDP's registered UAE IBAN on profile.
7.5 EFB deducts UAE VAT at the prevailing Federal Tax Authority rate (currently 5%) from Commission payouts where applicable. All payouts are inclusive of VAT. The net Commission amount will be transferred after the applicable VAT deduction.
7.6 EFB may amend the Commission structure, tiers, or incentive slabs any time by notice through the CRM or the BDP's registered contact details.
8. Performance Tier Structure
8.1 Tiers are calculated by reference to successful Disbursals within the applicable evaluation period:

9. Sub-BDP Program
9.1 The Program allows an existing BDP to onboard further individuals as Sub-BDPs. This is a professional referral network structure. It is not a multi-level marketing scheme, and no BDP earns income solely for recruiting another individual — all override income under this Section is tied to the recruited Sub-BDP's own successfully disbursed business, as set out below.
9.2 An existing BDP who onboards a new Sub-BDP is entitled to a 5% override on that Sub-BDP's Commission earnings, calculated and paid only once the Sub-BDP's own Commission has become payable under Section 7.
9.3 A BDP may additionally qualify for a monthly incentive based on the number of Active Sub-BDPs onboarded in that calendar month, where an Active Sub-BDP is a Sub-BDP who has sourced a matured business case meeting EFB's eligibility criteria for payout:
- 1–5 Active Sub-BDPs: AED 50 per Active Sub-BDP
- 6 or more Active Sub-BDPs: AED 100 per Active Sub-BDP
9.4 Sub-BDP incentives are calculated monthly and processed on the 5th day of the following calendar month. The recruited Sub-BDP must have been newly registered with EFB at the time of onboarding.
9.5 No income is guaranteed under this Section. All override and incentive payments are contingent, performance-based, and may be modified, suspended, or discontinued by EFB at its discretion in accordance with Section 7.6.
10. Claw back & Adjustment
10.1 EFB may withhold, adjust, or recover ("Claw back") a Commission payout, including a Sub-BDP override, where:
- A Financial Institution reverses, cancels, or reduces the underlying Disbursal.
- The finance facility is subject to early settlement or early default within the review period applicable to the relevant Financial Institution.
- The case is found to involve misrepresentation, fraud, a failed CDD check, or a breach of Section 5 (Referral Consent).
- The Commission was calculated or paid in error.
10.2 A Claw back may be applied by offsetting future Commission otherwise payable to the BDP, or, where no future Commission is available for offset, recovered directly from the BDP.
10.3 A BDP who disputes a Claw back may raise the matter by sending mail to support@efb.ae within 15 working Days. EFB will review the CRM records and the relevant Financial Institution's records and provide a final decision within 7 working days of the dispute being raised.
11. Compliance & Ethical Conduct
11.1 Anti-Mis-Selling
The BDP must not make any false, misleading, or unsubstantiated claim to a Customer, including claims of guaranteed approval, no credit-check requirement, instant disbursal without verification, or any implied government endorsement of EFB or its Program.
11.2 Fraud Prevention
EFB operates a zero-tolerance approach to fraud, forgery, and data manipulation. Where a file submitted by a BDP is identified as fraudulent, forged, or manipulated by a Financial Institution, EFB may immediately terminate the BDP's Partner ID, forfeit pending Commission, and pursue such civil or criminal remedies as may be available under Applicable Law.
11.3 Ethical Conduct
The BDP must not impersonate a bank official, EFB employee, or government representative; must not claim any "special approval" authority; and must not misuse the EFB name, brand, or logo.
11.4 Monitoring & Audit
EFB may audit, review, and verify any file, application, or CRM record for compliance purposes, and may request supporting documentation from the BDP at any stage. EFB may suspend a Partner ID during an active compliance investigation.
12. Data Protection & Confidentiality (BDP Obligations)
12.1 The BDP's obligations regarding Referral consent are set out in Section 5. This Section 12 sets out the BDP's further data handling obligations.
12.2 The BDP must not request or retain OTPs, PINs, passwords, or other confidential banking credentials under any circumstances.
12.3 On termination of this Agreement, the BDP must cease using and, where technically applicable, delete any Customer or Referral personal data in the BDP's possession outside the CRM.
12.5 This Section 12 should be read together with, and does not limit, the EFB Privacy Policy, which governs EFB's own processing of personal data as a data controller.
13. Taxes & Statutory Compliance
13.1 The BDP is solely responsible for determining and meeting its own UAE VAT registration obligations.
13.2 Where the BDP is VAT-registered, the BDP must provide EFB with a valid Tax Invoice in respect of Commission earned, in the form required under Applicable Law.
13.3 The BDP is solely responsible for its own compliance with Federal Decree-Law No. 47 of 2022 (Corporate Tax) and any other tax law applicable to its earnings under this Agreement. EFB does not provide tax advice and recommends the BDP obtain independent professional advice.
14. Term & Termination
14.1 This Agreement takes effect on the date the BDP's Partner ID is activated and continues until terminated in accordance with this Section 14. Either party may terminate this Agreement at any time by giving 7 days notice.
14.2 EFB may suspend or terminate this Agreement immediately and without notice where the BDP:
- Breaches this Agreement or any EFB policy referred to in it.
- Engages in misrepresentation, fraud, forgery, or coercive conduct toward a customer.
- Makes a false or misleading claim of the kind described in Section 11.1.
- Exposes EFB or a Financial Institution to material legal, regulatory, or reputational risk.
14.3 On termination, the BDP remains entitled only to Commission for business that was genuinely sourced, sanctioned, and disbursed prior to the termination date, subject always to Section 10 (Clawback). No Commission is payable in respect of pending, rejected, or clawed-back cases.
14.4 Sections 2, 5, 10, 11, 12, 13, 15, and 16 survive termination of this Agreement.
15. Governing Law & Dispute Resolution
15.1 This Agreement is governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai.
15.2 Any dispute concerning a Commission amount or Clawback should first be raised with support at support@efb.ae. EFB will review records and aim to decide within 7 working days.
15.3 Any dispute arising out of or in connection with this Agreement that is not resolved under Section 15.2 shall be referred to and finally resolved by UAE arbitration administered with the seat and venue of arbitration in Dubai, United Arab Emirates, conducted in the English language. The arbitral award shall be final and binding on the parties.
15.4 Nothing in this Section 15 prevents either party from seeking interim or injunctive relief from the competent courts of Dubai in appropriate circumstances.
16. Limitation of Liability & Indemnity
16.1 EFB is not liable for any rejection, delay, or modification of terms by a Financial Institution; any final credit, pricing, or approval decision made by a Financial Institution; or any indirect, incidental, or consequential loss, including loss of anticipated earnings.
16.2 The BDP indemnifies and holds EFB harmless against any claim, loss, fine, or liability arising from: (a) the BDP's breach of Section 5 (Referral Consent); (b) the BDP's fraud, misrepresentation, or unauthorized conduct; or (c) the BDP's breach of Section 12 (Data Protection & Confidentiality).
17. General
17.1 Entire Agreement: This Agreement, together with the EFB Privacy Policy, constitutes the entire agreement between the parties regarding the Program and supersedes all prior discussions.
17.2 Amendment: EFB may update this Agreement from time to time by notice through the CRM or the BDP's registered contact details. Continued participation in the Program constitutes acceptance of the updated Agreement.
17.3 Assignment: The BDP may not assign or transfer this Agreement or any right under it without EFB's prior written consent.
17.4 Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions continue in full force and effect.
17.5 No Waiver: A failure by either party to enforce a provision of this Agreement is not a waiver of that provision.
17.6 Language: This Agreement is issued in English. The English version prevails over any translation.
18. Acceptance & Declaration
By clicking "Agree", completing registration, or continuing to access the EFB CRM, the BDP confirms that they have read, understood, and accepted this Agreement in full, and agree to comply with it together with all EFB policies referred to in it.
